In a merger/acquisition transaction, various internal and external factors can influence the determination of the value of a company. Several aspects may be omitted or overstated by the seller or the buyer, so that the price offered or asked does not meet the expectations of either party. This can in some cases lengthen the negotiation period or jeopardize the transaction.
